accsyn Terms and Conditions

Rev 2.0, 22.09.26

1. Introduction

Thank you for using accsyn. accsyn (“Product”) is a software-as-a-service (SaaS) offering consisting of a cloud-hosted workspace instance (“Instance”) and related software applications (“Application”), provided by HDR AB (“Provider”), address Järntorget 3, 413 04 Göteborg, Sweden. These Terms of Service (“Terms”) govern access to and use of the Product and of Provider’s websites (including https://accsyn.com and https://accsyn.io), sub-domains and related applications, as owned and operated by Provider.

BY REGISTERING AN ACCOUNT, STARTING A TRIAL, DEPLOYING THE PRODUCT, INSTALLING, COPYING, OR OTHERWISE ACCESSING OR USING THE PRODUCT, YOU AGREE TO BE BOUND BY THESE TERMS. If you do not agree, you must not use the Product.

To use the Product, you (“Licensee”) must accept these Terms. Please read them carefully. If you do not agree with the Terms, or do not fully understand them, you must stop using the Product immediately.

The Product is provided on a best-effort basis. Provider strives to deliver a reliable and secure service, but does not guarantee uninterrupted availability, performance, or fitness for any particular purpose. Cloud infrastructure used to host the Product is hosted entirely within the European Union and is operated in premises certified to ISO/IEC 27001.

2. License

Subject to these Terms and to Licensee’s active subscription (or trial), Provider grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable right to use the Product for Licensee’s internal business purposes. Licensee may allow permitted third parties (such as clients or contractors) to use the Product solely to conduct business with Licensee within the Product’s intended functionality. Licensee may not transfer, assign, rent, lease or sublicense the Product to any third party except as expressly permitted herein.

Licensee shall not reverse engineer, decompile, disassemble, modify, or create derivative works of the Product (except to the limited extent that applicable law expressly prohibits such restriction); bypass or attempt to bypass authentication, licensing, protocols or encryption; copy Product code except as permitted below; or use the Product to circumvent its licensing or security mechanisms.

Licensee may copy the Application solely (i) as necessary to install and operate it on one or more machines for authorized use, or (ii) to create a reasonable number of copies for internal backup or archival purposes.

3. Unsolicited materials

Provider does not wish to receive confidential or proprietary information through unsolicited channels. Except for content Licensee stores or transfers through the Product in the ordinary course of use (which remains Licensee’s responsibility as set out in these Terms), any material that Licensee voluntarily sends to Provider outside the Product will be treated as non-confidential. By sending such material, Licensee grants Provider an unrestricted, irrevocable, royalty-free licence to use, reproduce, modify, publicly display, transmit and create derivative works from that material as Provider sees fit. This does not apply to personal data processed under Provider’s privacy policy, or to materials submitted under a separate written non-disclosure agreement.

From time to time, Provider’s websites may contain technical inaccuracies or typographical errors. Provider does not warrant the accuracy or completeness of any publicly posted information.

4. Account

Licensee is responsible for all activities that occur under Licensee’s accounts and for maintaining the confidentiality of credentials. Licensee must contact Provider support without delay if unauthorized account use is discovered. Licensee may not (i) share account credentials with unauthorized persons, or (ii) use another user’s account without authorization.

Provider may suspend or terminate a Licensee account or access to the Product if Licensee breaches these Terms or applicable policies. Where reasonably practicable, Licensee will be notified in advance of such suspension or termination, except where immediate action is required to protect the Product, other customers, or to comply with law.

5. Sharing

The Product includes features that allow Licensee to share content with other users (“Sharing”). Sharing means, through use of the Product, that Licensee either sends content to another user or enables another user to download or access content from Licensee’s storage or servers. Recipients may use, copy, alter, re-share or otherwise make such content available, depending on how Licensee configures Sharing. Licensee is solely responsible for content Shared and for selecting recipients and permissions. Provider is not responsible for incorrect content being Shared, for unauthorized recipients gaining access due to Licensee’s configuration or credentials, or for any loss arising from Sharing.

6. Service level, warranty and limitation of liability

The Product is a best-effort service provided “as is” and “as available”. Provider uses commercially reasonable skill and care in providing the Product, including hosting Cloud Instances on infrastructure located 100% within the European Union in ISO/IEC 27001-certified premises. Except as expressly stated in these Terms, and to the maximum extent permitted by applicable law, Provider gives no warranties or representations, whether express, implied or statutory, including any warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, or that the Product will meet Licensee’s requirements.

Without limiting the foregoing, Provider does not warrant or commit that (i) results obtained through use of the Product will be accurate, effective or reliable; (ii) the Product will be available without interruption, delivered on time, secure or error-free; or (iii) any errors or defects will be corrected. Temporary unavailability, performance degradation, scheduled maintenance and unforeseen outages may occur.

To the maximum extent permitted by applicable law, Provider, its owners, directors, employees and affiliates shall not be liable for any damage, loss or claim arising out of or relating to Licensee’s use of (or inability to use) the Product, including without limitation any direct, indirect, incidental, special, consequential or punitive damages; loss of profits, revenue, business, goodwill or anticipated savings; business interruption; or any loss, corruption, alteration, unauthorized access to or disclosure of data or content, whether stored in the Cloud Instance, transferred via the Product, or residing on Licensee’s or third-party systems (including BYOS). Licensee remains solely responsible for maintaining appropriate backups of Licensee’s data and for verifying the integrity of transfers and stored content.

Licensee assumes all risk of damage to computer systems, networks and loss of data resulting from accessing or using the Product. Provider is not responsible for losses that do not result from Provider’s material breach of these Terms, or for losses within Licensee’s business operations.

Without prejudice to the exclusions above, and only to the extent that liability cannot be excluded under applicable mandatory law, Provider’s aggregate liability arising out of or relating to these Terms or the Product shall not exceed the fees actually paid by Licensee to Provider for the Product during the three (3) months immediately preceding the event giving rise to the claim (or, if the claim relates to a free trial or other no-charge use, Provider’s obligation shall be limited to reinstating the trial or free service where reasonably practicable). Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including liability for death or personal injury caused by negligence, or for fraud or wilful misconduct, where such exclusion is prohibited).

7. Privacy protection

In our privacy policy , you can read how Provider handles personal information and protects privacy when you use the Product. By using the Product, Licensee agrees that Provider may process information in accordance with Provider’s privacy policy.

8. Pricing, subscription and payments

Provider offers the Product under different subscription plans (including Cloud and Bring Your Own Storage (“BYOS”) plans, with reduced-capability and full-capability tiers as published from time to time). Current plans, features and prices are set out at https://accsyn.com/pricing. Provider may adjust pricing, including due to exchange-rate fluctuations, with effect for subsequent billing periods as communicated to Licensee or published on the pricing page.

All subscriptions are billed monthly. The subscription (billing) period is one (1) month. Licensee receives a licence to use the Product during each paid subscription period. The subscription period starts (i) as stated in a signed agreement, or (ii) if no such agreement exists, upon successful signup and payment activation (or as otherwise stated in the order confirmation and/or invoice). Licensee must pay the applicable fees for each subscription period whether or not the Product is used.

Payment is by default made automatically by card via Stripe, charged monthly in advance for the base subscription. On special request, Provider may agree to invoice billing; invoices are then issued monthly in advance for the base subscription, with payment due as stated on the invoice (typically thirty (30) days). Additional usage beyond the base plan (including without limitation excess elevated users, additional cloud storage, site servers and compute/render servers, as applicable to Licensee’s plan) is measured during the subscription period and billed in arrears on the following invoice or card charge. Provider may suspend or terminate access to the Product upon missing or late payment; failure to pay fees constitutes a material breach of these Terms.

Subscriptions renew automatically for successive monthly periods unless cancelled. Licensee may cancel at any time via the Product billing/subscription page or by written notice to Provider by e-mail. Cancellation must be completed before the start of the next billing period in order to avoid charges for that period. Upon timely cancellation, Licensee retains access and remains liable for fees until the end of the then-current paid period; access ends at period end and no further base subscription fees accrue. Usage incurred during the final period may still be billed in arrears after cancellation takes effect.

9. Trademark

accsyn is a registered trademark in the European Union and/or other countries. Third-party trademarks, trade names, product names and logos are the property of their respective owners. Licensee may not remove, obscure or alter trademarks or logos belonging to Provider from the Product, documentation or related materials.

10. Governing law and changes

These Terms are governed by the laws of Sweden, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Product shall be subject to the exclusive jurisdiction of the courts of Sweden, unless mandatory law provides otherwise.

Provider may update these Terms from time to time. The revision date above indicates the current version. Continued use of the Product after updated Terms have been published or notified constitutes acceptance of the updated Terms. If Licensee does not agree to the updated Terms, Licensee must stop using the Product and cancel any subscription in accordance with section 8.
